This Agreement is made between RYNH ("the Provider"), Vancouver, British Columbia, and Jordan Avery ("the Client").
1. Scope of work
The Provider will design and build the deliverables described in the accompanying proposal. Work outside that description is a separate engagement and is quoted before it begins.
2. Fees and payment
Fees are set out in the proposal. A deposit of 50 percent is due before work starts and the balance is due on delivery. Invoices are payable within 14 days.
3. Timeline
The Provider will deliver on the dates given in the proposal, provided the Client supplies content, access, and approvals within three business days of a request. Delays in those inputs move the delivery dates by the same amount.
4. Revisions
Two rounds of revisions are included per deliverable. Further rounds are billed at the hourly rate in the proposal.
5. Ownership
On receipt of final payment, the Client owns the delivered work. The Provider keeps ownership of its own pre-existing tools, libraries, and components, and grants the Client a perpetual licence to use them as part of the delivered work.
6. Portfolio rights
The Provider may show the delivered work in its portfolio unless the Client asks in writing that it not be shown.
7. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform this Agreement.
8. Termination
Either party may end this Agreement with 14 days written notice. The Client pays for work completed up to the termination date.
9. Limitation of liability
The Provider's total liability under this Agreement is limited to the fees paid by the Client for the affected deliverable.
10. Governing law
This Agreement is governed by the laws of the Province of British Columbia.
11. Electronic signature
The parties agree that this Agreement may be signed electronically and that an electronic signature has the same effect as a handwritten one.
